Welcome to RDP SOLUTIONS PTY.LTD.. By accessing our website (genztechsolution.com) or engaging our IT services, you agree to be bound by these Terms & Conditions. RDP SOLUTIONS PTY.LTD. is a registered IT services provider based in 12 DIVINEY CT PARKWOOD WA 6147. These terms govern the relationship between RDP SOLUTIONS PTY.LTD. ("Company," "we," "us," or "our") and you ("Client," "you," or "your").

If you do not agree with any part of these terms, please refrain from using our website or services immediately.

Acceptance of Terms

By browsing this website, submitting an inquiry, signing a project agreement, or making a payment, you confirm that you have read, understood, and accepted these Terms & Conditions in full. These terms apply to all visitors, clients, and users of our services.

Services

RDP SOLUTIONS PTY.LTD. offers a range of IT services including but not limited to:

• Custom Website Development (Frontend & Backend)
• Mobile App Development (Android & iOS)
• E-commerce Solutions & Payment Gateway Integration
• UI/UX Design & Prototyping
• SEO & Digital Marketing Services
• Software Maintenance & Technical Support
• Cloud Hosting & Domain Management
• IT Consulting & Digital Strategy

All services are delivered as per the mutually agreed scope of work documented in the project proposal or service agreement.

Client Responsibilities

To ensure timely and successful delivery of services, the client agrees to:

• Provide accurate and complete project requirements in writing.
• Furnish all necessary content, images, logos, brand assets, and access credentials in a timely manner.
• Respond to communication and provide feedback within agreed timelines.
• Review deliverables promptly and report any concerns within the stipulated review period.
• Ensure that all content provided does not infringe upon third-party intellectual property rights.

Delays caused by the client's failure to meet these responsibilities may result in project timeline extensions and additional charges.

Payments

Our payment terms are as follows:

• All project fees are quoted in Indian Rupees (INR) unless stated otherwise.
• An advance payment of 50% of the total project cost is required to commence work.
• The remaining balance is due upon project completion and before final delivery or deployment.
• For ongoing services (SEO, maintenance, hosting), payment is billed monthly or as per the agreed schedule.
• Late payments may attract a penalty of 1.5% per month on the outstanding amount.
• All payments are to be made via bank transfer, UPI, or other agreed payment methods.

GST and other applicable taxes will be charged as per Government of India regulations.

Intellectual Property

Upon full payment of all outstanding dues, the client receives ownership of the final deliverables (website code, design files, app binaries, etc.) developed specifically for the project. However:

• RDP SOLUTIONS PTY.LTD. retains ownership of all pre-existing code, libraries, frameworks, tools, and reusable components used in the project.
• We reserve the right to display the completed project in our portfolio, case studies, and marketing materials unless a separate NDA explicitly prohibits this.
• The client warrants that all content, images, and materials provided to us are either owned by the client or properly licensed.

Confidentiality

Both parties agree to treat all non-public information exchanged during the course of the project as confidential. This includes business strategies, trade secrets, technical specifications, client data, and financial details. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.

Project Timelines

Estimated project timelines are provided in good faith based on the initial scope of work. Actual delivery dates may vary due to:

• Changes in project scope or additional feature requests.
• Delays in receiving content, feedback, or approvals from the client.
• Unforeseen technical challenges or third-party service disruptions.

We commit to communicating any timeline changes promptly and working diligently to minimize delays.

Limitation of Liability

To the fullest extent permitted by applicable law, RDP SOLUTIONS PTY.LTD. shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data loss, business interruption, or reputational harm. Our total liability for any claim related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

Termination

Either party may terminate a project agreement with written notice. In the event of termination:

• The client shall pay for all work completed up to the date of termination.
• Any advance payment beyond the value of completed work may be refunded at our discretion, subject to our Refund & Return Policy.
• RDP SOLUTIONS PTY.LTD. reserves the right to terminate services immediately if the client breaches these terms, fails to make payments, or engages in unlawful activities.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in 12 DIVINEY CT PARKWOOD WA 6147.

Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised terms. We encourage clients to review this page periodically.
